These Website Terms of Use (“ToU”) govern your access to and use of Abtique.com and any pages or content we operate (collectively, the “Site”). The Site is owned and operated by EVQLV, Inc., a Delaware corporation with its principal place of business located at 9429 Surfside Drive, #199, Miami, FL 32254 (“EVQLV,” “we,” “us,” or “our”).
Important:
These ToU govern browsing and use of the Site only. Purchases of digital amino-acid sequences or any other paid deliverables are governed by our separate Terms of Service (“ToS”). If there is any conflict between these ToU and the ToS with respect to purchase matters, the ToS controls.
By accessing or using the Site, you agree to these ToU.
1.1 The Site. “Site” means Abtique.com and related pages, content, and services we make available for browsing worldwide.
1.2 Scope. These ToU apply to all visitors (with or without an account). Purchases are governed by the ToS.
1.3 Definitions.
2.1 Browse-wrap acceptance. Your use of the Site constitutes acceptance of these ToU.
2.2 Age. You must be 18+ (or the age of majority where you reside, if higher) to use the Site. Where we present checkboxes (e.g., checkout or gated features), you must attest to meeting the age requirement.
2.3 Global audience. The Site is offered globally. You are responsible for compliance with local laws that apply to you.
3.1 Separate agreements. The ToU govern Site use; the ToS govern purchases.
3.2 Control on conflicts. For any purchase-related matter, the ToS controls if there is a conflict with these ToU.
4.1 Accounts not required. Browsing typically does not require an Account. If we offer Accounts or gated features, you must provide accurate information and keep credentials confidential.
4.2 Responsibility. You are responsible for all activities under your Account.
5.1 Privacy Policy. Our Privacy Policy (located at www.abtique.com/privacy) explains how we collect and use personal data. It is incorporated by reference and governs all personal data processing.
5.2 Cookies & preferences. We use cookies/analytics. Where required, we provide a cookie banner and preference manager. Your choices will be honored to the extent required by applicable laws (e.g., UK/EU, California signals).
6.1 Ownership. The Site and all Content are owned solely and exclusively by EVQLV or its licensors and are protected by IP laws.
6.2 Your license. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful purposes consistent with these ToU.
6.3 No transfer. Except for the limited license above, you receive no rights in the Site or Content.
7.1 Limited feedback only. The Site may allow you to submit feedback or inquiries (not public UGC).
7.2 License to operate the Site. You grant EVQLV a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and use submitted feedback only as necessary to operate, maintain, and improve the Site and respond to your requests.
7.3 No marketing use without consent. We will not use your feedback for marketing unless you give explicit prior written consent.
You agree not to:
8.1 Security & interference. (a) access or use the Site in a way that could damage, disable, or impair it; (b) upload or transmit malware; (c) circumvent technical restrictions, authentication, or rate limits.
8.2 Reverse engineering. Decompile, disassemble, or otherwise attempt to derive source code of the Site, except to the extent such restriction is prohibited by law.
8.3 Automated access. Use bots, spiders, scrapers, or automated means to access the Site except for limited indexing that (i) respects our access conditions and (ii) does not degrade or interfere with the Site.
8.4 Training AI/ML models on Site Content is prohibited without our prior written permission.
8.5 Misrepresentation. Impersonate any person or entity or misrepresent your affiliation.
8.6 Unlawful/regulated activity. Use the Site for any unlawful purpose or to request, facilitate, or discuss regulated biosafety activities. Site Content is not instructions or protocols for regulated experiments.
8.7 Framing/mirroring. Frame, mirror, or create derivative interfaces that replicate the Site.
9.1 We take security seriously. Do not attempt security testing except as permitted below.
9.2 Coordinated disclosure & safe harbor. If you in good faith: (a) limit testing to non-destructive methods; (b) avoid data exfiltration or service disruption; (c) promptly report findings to legal@evqlv.com with sufficient detail; and (d) give us a reasonable remediation window before public disclosure, then EVQLV will not pursue legal action for your authorized good-faith testing of in-scope assets. We may specify scope or temporary test windows by notice; testing outside those parameters is prohibited.
10.1 Third-party sites. The Site may link to third-party websites or tools. We don't control and are not responsible for them; their terms and privacy policies apply.
10.2 No guarantees. Content is provided for general information only and may contain errors or be incomplete. We do not guarantee accuracy, timeliness, or availability.
11.1 Agent. For copyright complaints, contact our DMCA Agent at legal@evqlv.com (or the address below) with: (a) identification of the copyrighted work and material; (b) your contact info; (c) a good-faith statement; (d) a statement under penalty of perjury; and (e) a signature.
11.2 Counter-notice. If you believe your content was removed in error, send a counter-notice with the information required by 17 U.S.C. §512(g).
11.3 Repeat infringers. We may terminate access for repeat infringers.
12.1 Non-misleading links only. You may link to public pages for non-commercial purposes, provided the link is not misleading and does not imply endorsement.
12.2 Commercial sites require permission. Any commercial linking (including linking from a business website, commercial newsletter, or paywalled property) requires our prior written permission.
12.3 No framing/inline linking to assets. You may not frame the Site or inline-link to our media/assets.
12.4 Revocation. We may revoke link permission at any time by notice.
Scholarly/non-commercial citations to public pages are permitted with attribution as:
“© EVQLV, Inc., Abtique.com — used with attribution.”
You represent that you are not located in, under control of, or a national or resident of any country or region subject to U.S. embargoes or sanctions and are not on any U.S. government restricted list (including OFAC, BIS/EAR, or similar). You agree not to access or use the Site in violation of applicable export control or sanctions laws.
We may suspend or terminate your access immediately for violations of these ToU, security risk, or excessive automated requests, or as required by law. Upon termination, your license to use the Site ends. Sections intended to survive (including 6–8, 10–22) shall survive.
We may modify the Site and these ToU at any time by posting the updated ToU with a new Effective Date. Your continued use after posting means you accept the changes.
YOUR USE OF THE SITE IS AT YOUR OWN RISK. THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVQLV AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR SITE USE. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO SITE USE IS LIMITED TO THE AMOUNT YOU PAID FOR ACCESS TO THE SITE, IF ANY (TYPICALLY $0).
You agree to defend, indemnify, and hold harmless EVQLV and its affiliates from and against claims arising from your breach of these ToU or your misuse of the Site.
20.1 Arbitration. Except for claims that may be brought in small-claims court and claims for injunctive relief, any dispute arising out of or relating to these ToU or the Site will be finally resolved by binding arbitration administered by JAMS under its applicable rules. The seat and venue of arbitration is New York, New York.
20.2 Class/Jury waiver. You and EVQLV agree to waive any right to a jury trial and waive any right to participate in a class action or class-wide arbitration.
20.3 No opt-out. There is no arbitration opt-out window.
20.4 Court venue for non-arbitrable claims. For any claim that is not subject to arbitration, the state or federal courts in New York County, New York have exclusive jurisdiction; you consent to personal jurisdiction there. Governing law is Delaware law, without regard to conflicts of laws rules.
We strive to make the Site accessible. If you need a reasonable accommodation, contact legal@evqlv.com and we'll work to help.
We may assign these ToU (including in connection with a merger, acquisition, or corporate restructuring). You may not assign these ToU without our prior written consent.
23.1 Entire agreement (Site use). These ToU constitute the entire agreement between you and EVQLV regarding Site use (not purchases).
23.2 Severability. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary.
23.3 No waiver. Our failure to enforce any provision is not a waiver.
23.4 Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
23.5 Headings. Headings are for convenience only.
UK/EU: Where required, we honor consent choices for cookies/analytics and statutory consumer information rights for Site access. These ToU do not limit any non-waivable rights under local law.
Quebec/Canada & other regions: Non-waivable rights under local consumer laws remain unaffected.
